Adtiya Birla Minacs World Wide Limited has acquired UK-based Compass BPO Ltd for an undisclosed sum in an all cash deal.

The company will take over all of Compass' operations across the UK, US, Middle East and in India. Post acquisition, Compass will operate as a wholly owned subsidiary of Aditya Birla Minacs.

The founders of Compass - David McCullough and Mark Atkins - would join Minacs' management.

With this acquisition, the Aditya Birla Nuvo Group company gets 38 customers in the F&A space. At present, over 70% of the company’s revenue comes from voice transactions.

Compass BPO has appeared in the top 15 upcoming F&A BPO players in a Gartner report. It was also cited in the Top Offshore BPO providers by FAO Today magazine, and in the'Global Services 100 - 2008 list' by NeoIT and Global Service.

Transaction Note

Aditya Birla Minacs was formed by Minacs- canadian BPO company and Transworks- the BPO arm of Aditya Birla group. Its clients include Idea Cellular and Birla Sunlife. It provides solutions in finance and accounts outsourcing, marketing solutions, CRM and IT Infrastructure management.

In January 2010, Aditya Birla Minacs Worldwide Ltd, raised Rs 250cr through issue of CCDs through private placement with a maturity of 5 years.

Last month, the company had acquired Radifinity Information Systems Pvt Ltd to expand into the RFID space.

The Compass acquisition will help AB Minacs to compete with F&A BPOs in India like eClerx and Outsource Partners International. Established leaders Accenture, ACS-Xerox, Capgemini, Genpact and IBM account for nearly 65% percent of the FAO market’s Annual contracts Value.

According to an FAO outsourcing Annual Report 2010 by Everest Group, the FAO business is expected to rebound and clock a growth of over 20% to reach $3.7 bn.

The study further noted that in the next three years, $4.8 bn in FAO contracts are up for renewal. Also, although the number of contracts signed was lower in 2009 compared to recent years, organic growth through contract extensions picked up significantly and contributed to almost 40% of the annual contract value growth in 2009.
